Legal Counsel: Become the Newest Member of the Vans FamilyIn this role, you will work across the Vans organization, providing legal guidance on a wide variety of issues to cross-functional teams and to associates at all levels, including Vans senior leadership. You will have an opportunity to develop trusted and strategic relationships with the business, deeply understanding Vans strategies and initiatives in order to help advance them from a legal perspective. You will provide leadership and support to the legal team and the business in the management of risk in all areas of the business. You will also work closely to collaborate with VF legal team members to support team initiatives, as well as the Vans brand around the world.

How You Will Make a Difference:In this position, you will provide support for a broad range of legal matters arising in the footwear/apparel space and in retail environments. Specific duties may include, but are not limited to, the following:

Structure, draft and negotiate a wide variety of contracts, including complex contracts, for example, licensing agreements, sponsorship agreements, athlete agreements, creative services agreements, ad or PR agency agreements, talent and model releases, media, content and entertainment agreements, intellectual property licenses, international distribution agreements, agreements with suppliers, vendors, and wholesale accounts, real estate leases, and nondisclosure agreements.

Provide creative and practical legal and commercial advice and counsel to business clients on a wide array of business and contractual issues while coordinating with other Legal team members and stakeholders as necessary, building trusted advisor relationships and collaborating effectively across all levels of the organization.
Provide general legal support for Vans legal team/General Counsel, including assisting with general corporate and commercial research, analysis and advice on a wide range of business and legal issues, managing legal risks and assisting with key transactions and projects.
Support product, marketing and creative teams, including in the development of new products and in connection with content clearance and appropriate releases for content and events.
Support demand creation, insights and analytics anddirect to consumer (DTC) teams, including in connection with privacy issues, marketing claims, promotions and various policies, terms and conditions.
Support sales teams and provide antitrust advice.
Counsel on employment relations matters and support employee investigations as needed.
Provide sound dispute and risk management and, post-escalation, active oversight and management of litigation.
Create and implement tools and training for smooth processes, efficiency, consistency, learning and empowerment, including educating the business in areas where increased knowledge and advice will help to proactively mitigate risk, increase efficiency and improve communication and partnership, developing relevant training and clear guidelines, developing and managing forms and playbooks, and developing, implementing and enforcing processes.
Manage the successful delivery of services by outside counsel.
Other legal tasks that may be assigned from time to time which contribute to the overall success of Vans.

Skills for Success:Years of Related Professional Experience: 7+ years of relevant legal experience, combination of firm and in-house experience preferred
Educational/ Position Requirements:
J.D. and member of the bar in good standing in at least one U.S. jurisdiction
Experience working with a wide variety of contracts
Experience working in the retail and/or footwear and apparel industry a plus

Skills:Demonstrated ability to work in a dynamic, fast-paced, self-starter environment and capability of developing and maintaining effective, professional and collaborative relationships amongst internal and external stakeholders at all levels, including multiple cross-functional teams.
Demonstrated ability to handle multiple projects at the same time effectively and efficiently, remain flexible, manage clients expectations and appropriate communications in a demanding environment, and think strategically and act tactically in prioritizing, re-prioritizing and following through with all tasks, assignments and jobs in a timely manner while anticipating needs and responding to changing demands.
Skilled and experienced with drafting and negotiating complex contracts.
Experience with licensing, content, advertising/marketing, media/entertainment, privacy and intellectual property a plus.
Must be able to evaluate issues from legal and business perspectives and provide clear, practical, strategic, creative, balanced and business-oriented advice to business clients.
Must be customer-focused with strong interpersonal attributes and listening skills.
Excellent organizational skills, judgement and problem-solving abilities.
Team player with a positive attitude, self-confidence, enthusiasm and excellent interpersonal, communication (verbal and written) and negotiation skills.
Detail, goal/results and solutions-oriented.
