Summary
The corporate legal assistant will report to the Sr. Manager of Governance & Legal Operations and assist with a variety of public company and corporate governance matters (e.g., preparation of board and committee materials, maintenance of corporate records, Section 16 filings and subsidiary corporate governance).
Essential Duties and Responsibilities
Assist Corporate Secretary with preparation and maintenance of corporate records as well as preparation and delivery of board and committee materials
Coordinate and prepare documents necessary for formation and maintenance of foreign subsidiaries
Prepare Section 16 filings for directors and key executive officers, including Forms 3, 4 and 5, and assist with NYSE reporting
Assist with planning and execution of Annual Stockholders’ Meeting
Manage Board of Director compensation program, insider trading and other ad hoc governance matters.
Provide administrative support to General Counsel and select members of the team

Education and/or Experience
Bachelor’s degree required
3+ years of professional experience working as a corporate legal assistant or paralegal
