Summary
Under Armour’s Associate Counsel, Corporate, will report directly to the Vice President and Managing Counsel, Corporate Affairs, and work as a critical part of the Corporate Secretary’s office.  This person will collaborate and work cross-functionally across multiple departments on matters relating to corporate governance, preparation of Board materials, global subsidiary management, stock exchange listing standard requirements, SEC reporting and transactional work.  This role will serve as a key partner to multiple functions across the organization, including Treasury, Controllership, Tax and Finance.
Responsibilities:
Assists with corporate secretarial functions, including preparation and review of Board and Committee materials.
Assist in the preparation of SEC filings, including Form 10-Ks, Form 10-Qs, Form 8-Ks, proxy statements and registration statements and other SEC and exchange compliance matters.
Assist with planning and administration of annual shareholder meeting.
Lead global subsidiary management with cross-functional teams, draft corporate organizational documents, maintain corporate records and support intercompany transactional work.
Keep abreast of proposed and existing legislation and regulations and corporate governance trends, and coordinates compliance with corporate governance rules and NYSE listing requirements.
Support administration of global equity compensation program.
Support efforts on strategic corporate transactions, including all M&A activity and financing, and lead certain workstreams related thereto.

Qualifications:
4-6 years of experience either in-house within corporate secretary’s department or transactional or public company work at a law firm.
Excellent professional ethics, integrity and judgment.
Team player with a strong ability to work successfully cross-functionally
Ability to work independently to drive projects to completion
Excellent written and oral presentation skills; comfortable leading meetings and representing function in front of more senior employees.
J.D. required from an accredited law school; must be admitted to practice law and a member in good standing of a state bar.
