Description
•   Primarily responsible for all high valued cross border commercial transactions, joint ventures, asset/ share purchases;
local and international, initiated by the corporate finance team at the Brandix HQ, as strategic initiatives covering India,
Bangladesh, UK, USA, Haiti, DR and Hong Kong
•   Business partnering -specifically for 'supply chain' and 'finance' functions within the organization - functioned as the SPOC
•   Advising on banking and other transactions and agreements specifically entered into by the Brandix holding
company in Singapore
•   Company secretary to the Brandix Leadership Team ('BLT') of Brandix group which includes the board of directors, CEOs and functional heads and chaired by group CEO/board director

•   Accomplishments
•   Advised internal parties which include the board of directors, functional heads, CEOs on potential legal risks and providing
feasible solutions arising from cross border transactions in the nature of M&As and joint venture agreements.
•   Responsible for drafting the related agreements and negotiating such deals on M&As with third parties and liaising with foreign law firms (when needed) and seeing execution of such cross-border transactions.
•   Formulated and finalized Long Range Plan ('LRP') for legal function within organization
•   Governance processes formulated for overall legal and secretarial tasks carried out within group with distinction made
between 'accountability' and 'responsibility', minority shareholder joint ventures and majority shareholder ventures.
•   Identification of digitization requirements for certain legal/secretarial information and engagement with third party
vendors for required services to be obtained
•   Enabled the shared service collaborations valued at over USD 20Mn between Brandix and Accenture from a legal and contractual stand-point by being a part of the negotiations and drafting of the Master Service Agreement.
•   Standardized several regular occurrences and implemented new process improvements including a risk disclosure
document and a 'pain-points' scorecard system for internal service enhancement.
•   Drafting and negating of a wide variety of agreements relevant to the business cycle of the manufacturing industry.
•   Specific experience in Singapore
o   Reviewing, negotiating and seeing execution of non-recourse invoicing agreements specifically with Citi bank
Singapore, SCB Singapore, HSBC Singapore and DB Singapore for Brandix Singapore Holding company in Singapore totalling to approx. USD 800Mn (element of true sale vs assignment of purchased receivable and other concerns negotiated with bank)
o   Reviewing and drafting of letters of awareness, letters of support, guarantees, indemnities and other similar
documentation as assurances given by companies within the group for transactions entered into by the Brandix holding company in Singapore
o   Liaising with company secretarial parties in Singapore to ensure compliance requirements are met from a
jurisdictional perspective for the Brandix holding company in Singapore
o   In order that the Brandix Holding company in Singapore receives 'Accredited Investor' status to have access to
wider range of risk management products from Citi Singapore, -Singapore all documentation reviewed and assessed where necessary against the Securities and Futures Act Singapore and advised on legal implications
therein
